Kalpataru Projects exits Kohima-Mariani Transmission with final stake sale

Kalpataru Projects International Limited (KPIL) has completed the sale of its remaining approximately 26% equity stake in Kohima-Mariani Transmission Limited (KMTL) to Apraava Energy Private Limited, completing its exit from the transmission project.

According to a regulatory filing, the balance stake was transferred to Apraava on June 24, 2026. The company received intimation of the completion of the transaction on June 25, 2026.

The transaction concludes a divestment process that began in 2019, when KPIL sold approximately 48% of its stake in KMTL to Apraava. The remaining approximately 26% stake was retained pending regulatory and other approvals in accordance with the transmission service agreement.

With the latest transaction, KPIL has fully divested its equity shareholding in KMTL.

KMTL was incorporated on January 22, 2016, as a wholly owned subsidiary of PFC Consulting Limited (PFCCL), a wholly owned subsidiary of Power Finance Corporation Limited (PFC).

The special purpose vehicle (SPV) was established to develop transmission infrastructure under the North Eastern Region Strengthening Scheme (NERSS-VI). The project comprises the Imphal-New Kohima 400 kV double-circuit transmission line, the New Kohima-New Mariani 400 kV double-circuit transmission line, and a 400/220 kV, 2×500 MVA substation at New Kohima.
