AM Green BV (AMG) has signed definitive agreements to acquire a 17.5% equity stake in Greenko Energy Holdings from Japanese financial services group ORIX Corporation. The deal is expected to close in July 2025.
Following the completion, AM Green and its promoter group will collectively hold a 25% stake in Greenko. The acquisition is part of AM Green’s strategy to strengthen its upstream integration with Greenko, which operates over 10,000 MW of renewable and pumped storage capacity in India.
As part of the transaction, ORIX will invest in a convertible note issued by AM Green (Luxembourg) S.à.r.l., AMG’s parent company. The note will give ORIX long-term exposure to green hydrogen, green ammonia, sustainable aviation fuel (SAF), and other emerging green molecules. This aligns with ORIX’s capital recycling and clean energy investment plans.
The deal marks a significant step in AM Green’s efforts to scale its position across the green energy value chain, leveraging Greenko’s large-scale renewable platform.
