Tata Power acquires Ryapte transmission SPV for Karnataka project
Tata Power Company Limited has acquired a 100% equity stake in Ryapte Power Transmission Limited (RPTL), the Special Purpose Vehicle (SPV) established to develop an intra-state transmission project in Karnataka with capital expenditure of more than Rs 4,000 crore.
The acquisition was completed on July 30, 2026, following the signing of the Share Purchase Agreement (SPA). Tata Power had received the Letter of Intent (LoI) from REC Power Development and Consultancy Limited (RECPDCL) in June 2026 after emerging as the successful bidder through the Tariff-Based Competitive Bidding (TBCB) process.
The project will be developed on a Build-Own-Operate-Transfer (BOOT) basis and involves around 491 ckm of transmission infrastructure in Karnataka. The Scheduled Commercial Operation Date (SCOD) is 30 months from the date of acquisition of the SPV.
Project scope
The transmission scheme includes two major 400/220 kV substations. A 400/220 kV Air Insulated Substation (AIS) will be established at Ryapte in Tumkur district with five 500 MVA transformers and two 125 MVAr bus reactors. At Doddathaggalli, near Hosakote, a 400/220 kV Gas Insulated Substation (GIS) will be developed with three 500 MVA transformers and two 125 MVAr bus reactors.
The transmission network will include a 400 kV double-circuit (D/C) line from the Ryapte AIS substation to the proposed Doddathaggalli GIS substation and another 400 kV D/C line connecting the existing Kolar substation with Doddathaggalli.
At the 220 kV level, the project includes D/C connectivity from the proposed Doddathaggalli GIS substation to the existing substations at Ekarajapura, Hosakote and Sarjapura. It will also include 220 kV underground cable connections from Doddathaggalli to the Ekarajapura, Hosakote and Sarjapura substations.
Transaction
RPTL was incorporated on May 21, 2025, as the project SPV. Tata Power acquired the entire equity stake for Rs 10.87 crore in cash on July 30, 2026.Â
The acquisition expands Tata Power’s presence in Karnataka’s transmission sector and adds to its portfolio of projects secured through the TBCB route. The transmission system is intended to strengthen grid connectivity in the Bengaluru region as electricity demand grows and improve transmission reliability in the state.
Tata Power said the acquisition is in line with its core business of power generation, transmission and distribution.
