Genus Power to acquire full ownership of two AMISP subsidiaries

Genus Power Infrastructures Limited, on February 10, 2026, entered into a Share Purchase Agreement to acquire 100% equity in Himachal Pradesh C Zone Smart Metering Private Ltd. and Genus Assam Package-3 SPV Limited. The acquisition will be carried out by its wholly owned subsidiary, Genus Power Solutions Private Limited.
Following completion of the transaction, both entities will move from being step-down subsidiaries to direct wholly owned subsidiaries of Genus Power Infrastructures Limited. The company has indicated an indicative timeline of 30 days from the date of the agreement to complete the acquisition. No government or regulatory approvals are required for this intragroup restructuring.
In its regulatory disclosure, the company provided details of the acquisition of Genus Assam Package-3 SPV Limited. The entity has an authorised and subscribed share capital of Rs 1,00,000. The entire equity stake will be acquired for Rs 1,00,000 in cash. The transaction has been classified as a related party transaction and stated to be conducted on an arm’s length basis.
Himachal Pradesh C Zone Smart Metering Private Limited was incorporated on November 21, 2023, while Genus Assam Package-3 SPV Limited was incorporated on February 19, 2023. Both entities were set up as special purpose vehicles for the execution of Advanced Metering Infrastructure Service Provider (AMISP) contracts.
