REC Limited has informed the stock exchanges that its wholly owned subsidiary, REC Power Development and Consultancy Limited (RECPDCL), has completed the sale and transfer of Umred Power Transmission Limited. The project-specific special purpose vehicle (SPV) has been transferred to the successful bidder after receipt of consideration.
Umred Power Transmission Limited was incorporated on July 7, 2025 to implement the intra-state transmission project involving establishment of a 400/220/132 kV substation at Umred in Nagpur district.
According to a regulatory filing dated February 26, 2026, the entire shareholding of Umred Power Transmission Limited, comprising 50,000 equity shares, was transferred at par along with all assets and liabilities. The transfer was completed on February 26, 2026 following execution of a Share Purchase Agreement (SPA) between RECPDCL and the successful bidder.
The successful bidder is Maharashtra State Electricity Transmission Company Limited (MAHATRANSCO), selected through a tariff-based competitive bidding process. The consideration received amounts to Rs 2,34,28,481, including professional fees, reimbursement of expenses, and applicable taxes.
