Torrent Power acquires TU47 to expand thermal portfolio

Torrent Power Limited (TPL) has acquired 100 % equity shares of Torrent Urja 47 Private Limited (TU47) for a cash consideration of Rs 5,00,000. The transaction was completed on March 27, 2026.

TPL stated that the acquisition supports its plan to evaluate and pursue opportunities in thermal power generation. The company is assessing proposals to acquire thermal power plants, either directly or through subsidiaries, to create a separate thermal business vertical.

TU47, incorporated on March 19, 2025 and registered with the Registrar of Companies in Gujarat at Ahmedabad, is a non-operating entity with nil turnover. Its authorised and paid-up share capital stands at Rs 5,00,000, comprising 50,000 equity shares of Rs 10 each.

The shares were acquired from Torrent Green Energy Private Limited (TGEPL), a wholly owned subsidiary of TPL, which held the entire equity of TU47.

The acquisition qualifies as a related party transaction as TGEPL is a wholly owned subsidiary of TPL. The company stated that the deal was executed on an arm’s length basis. The consideration was paid in cash, and no governmental or regulatory approvals were required. 

The transaction aligns with TPL’s efforts to establish a dedicated thermal generation vertical. The company indicated that TU47 will serve as a vehicle to pursue acquisitions of thermal assets or develop greenfield projects in the segment.
